Midlevel EC/VC Corporate Associate

Century City, Los Angeles, or Newport Beach, CA (Portland, OR Considered)
$310,000 - $390,000 + Bonus & Benefits

Direct Counsel is seeking a Midlevel Corporate Associate with 4-6 years of experience in Emerging Companies & Venture Capital (EC/VC) to join a prestigious law firm’s Southern California offices (Century City, Los Angeles, or Newport Beach) . This role offers the opportunity to advise startups, venture capital investors, and high-growth companies through all stages of their business lifecycle.

Key Responsibilities

• Advise emerging companies and venture capital investors on corporate and transactional matters.
• Draft and negotiate venture capital financing documents , including term sheets, convertible notes, and NVCA financing agreements.
• Counsel clients on corporate governance matters , including board and shareholder issues.
• Support clients in M&A, joint ventures, and strategic transactions .
• Conduct due diligence and assist with transactional closings.
• Serve as outside corporate counsel to early- and late-stage private companies.
• Manage client relationships and coordinate with outside counsel .

Qualifications

• J.D. from an accredited law school .
• Admission to the California Bar .
• 4-6 years of corporate law experience , with significant focus on EC/VC transactions .
• Strong drafting, negotiation, and analytical skills .
• Experience managing multiple transactions in a fast-paced, high-growth environment .
• Entrepreneurial mindset and ability to work both independently and collaboratively .

Compensation & Benefits

• Base Salary: $310,000 - $390,000 , based on experience.
